Mr. Schorr is a seasoned tax lawyer with over twenty-five years of international tax and finance experience, with particular knowledge of cross-border tax, financial products and trusts & estates. Mr. Schorr currently chairs the Taxation of Business Entities Committee of the NYC Bar Association.
He focuses his tax practice on (i) cross-border transactions, including mergers & acquisitions and joint ventures, (ii) hedge funds, VC and private equity, (iii) insurance, derivatives and structured products, (iv) finance, convertible debt instruments, and capital markets, (v) structuring trusts and estates matters for private corporate and individual clients; (vi) executive compensation and (vii) M&A transactions. In addition, Mr. Schorr is a trusted advisor for art advisory and charitable planning matters for his clients. Over the last decade, he has also worked with numerous entrepreneurs, family offices and major investors in structuring their equity arrangements in domestic and foreign tech and other companies for exits, spin-offs, restructuring and new investments. Mr. Schorr is also well-versed on issues relating to qualified small business stock, opportunity zone funds and other tax-favored strategies.
Mr. Schorr also is a trusted advisor to art collectors on museum show loans, secondary market transactions, consignments to auction houses and private dealers, insurance, and advises families and private foundations relating to trust and estates and charitable planning and operations. As part of this practice, Mr. Schorr has served as tax and strategic advisor to domestic and international collectibles (art, classic cars, wine, and musical instruments) investment funds and is a member of the Art Law Committee at the NYC Bar Association, where he co-heads the subcommittee on trust and estates, museums, non for profits and tax.
Mr. Schorr applies his skills relating to financial products, investment funds and cross-border transactions to advise clients engaging in crypto- and digital currency transactions. He has regularly advised on matters relating to blockchain, including issues relating to structuring blockchain-related businesses, fundraising, business and fund formation, creation of offshore operations and taxation of air drops.
In addition, Mr. Schorr advises companies and employees on equity compensation-related matters, including deferred compensation issues (Section 409A and Section 280G of the I.R.C.), and provides advice and analysis relating to planning and structuring M&A exits.
Prior to joining Tjong & Hsia LLP, Mr. Schorr served as Director of Tax at Seneca Capital, a global event-driven hedge fund. As a senior member of the Structured Finance team at HSBC Securities, he structured, marketed and executed innovative financial products for key multinational clients, particularly in the health care, high tech, consumer product, and financial services industries. Mr. Schorr also co-founded a group at Bear, Stearns & Co., Inc. focusing on tax, accounting and regulatory optimization for domestic and cross-border investment and financing products and M&A strategies.
Mr. Schorr began his legal career as a tax lawyer at two major international law firms, Coudert Brothers and Leboeuf, Lamb, Greene & MacRae LLP.
