Ms. Clarke is a corporate and securities lawyer with a wide-range of experience in capital markets, broker-dealers, mergers & acquisitions, joint ventures, cross-border transactions, derivatives and investment funds.

She concentrates her practice on funds and their investment advisers, issuers, placement agents, and securities and transactional matters. Ms. Clarke advises broker-dealers and investment advisers in respect of operations and regulation, including, corporate governance, policies and procedures. She also has significant experience in cross-border matters, including cross-border mergers and acquisitions. Her corporate representation covers all aspects of both private and public company guidance, including executive compensation models, investor relations and board and special committee advice. Her securities offering work includes private placements, secondary offerings, PIPEs, registered direct offerings, foreign private issuer and hedge fund offerings. Jennifer is also well-versed on technology and SAAS contracts and represents a wide range of companies. Jennifer has also represented debtors and lenders, and fintech companies, advising them on debt and loan documentation and capital structure.
